These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and VIB3 (“we,” “us,” “our,” or the “Company”) governing your access to and use of our website, products, features, content, and services provided through https://vib3.tech (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use or access our Services.
1.1 Eligibility. You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.
1.2 Acceptance. By accessing or using the Services, you agree to comply with and be legally bound by these Terms, our Privacy Policy, and all posted guidelines, rules, and policies incorporated herein by reference.
2.1 Account Registration. Some aspects of the Services may require account registration. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
2.2 Account Security. You are responsible for safeguarding your login credentials, any OAuth tokens generated through the Services, and any API keys you provide to VIB3 in order to connect third-party integrations, as well as for any activity that occurs under your account or via integrations connected to your account. You agree not to share your account credentials and to notify us immediately of any unauthorized use.
3.1 Lawful Use. You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
3.2 Service Changes. We may modify, suspend, or discontinue any part of the Services at any time without notice.
4.1 Ownership. All content, features, and functionality of the Services, including text, graphics, logos, software, and design, are owned by us or our licensors and are protected by intellectual property laws.
4.2 License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
4.3 Restrictions. You must not copy, reproduce, distribute, modify, create derivative works, or exploit any part of the Services except as expressly permitted by these Terms.
5.1 User Content. “User Content” means any information, data, text, or materials you submit through the Services. You retain ownership of your User Content.
5.2 Rights Granted. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform the User Content in connection with providing and improving the Services.
5.3 Responsibility. You are solely responsible for your User Content and must ensure it does not infringe third-party rights or violate applicable laws.
6.1 General. Our Services integrate with or link to a number of third-party services. You acknowledge that these third parties have their own terms of service, developer agreements, and privacy practices, that we are not responsible for their policies or how they handle data, and that your use of any third-party service connected to or via the Services is at your own risk.
6.2 Connected Advertising and Analytics Accounts. The Services allow you to connect accounts on third-party advertising and analytics platforms, including (without limitation) Google Ads, Google Merchant Center, Google Analytics, Meta (Facebook/Instagram) Business, and TikTok for Business, through OAuth authorization. By connecting such accounts, you authorize VIB3 to access, read, and (where applicable) manage data and assets within those accounts on your behalf — including campaigns, ad sets, ads, audiences, pixels, catalogs, pages, business managers, and insights — strictly as described in our Privacy Policy.
6.3 API Key Integrations. The Services also support integrations established via API keys that you generate within third-party platforms, including (without limitation) RevenueCat and AppsFlyer. By providing an API key to VIB3, you authorize VIB3 to use that key solely to retrieve data from the corresponding service on your behalf, in accordance with the scope of access associated with the key. API keys you provide are stored encrypted at rest.
6.4 User Authority and Compliance. You represent and warrant that (a) you have full authority and all required permissions and consents to grant VIB3 the access described in Sections 6.2 and 6.3, including any necessary authority on behalf of an organization, business, advertiser, or workspace; (b) your use of the Services and of any data fetched through connected integrations complies with the terms, developer agreements, and acceptable use policies of each connected platform (including, without limitation, the Google API Services User Data Policy, Meta Platform Terms, TikTok for Business API Terms of Service, and the terms of RevenueCat and AppsFlyer); and (c) you will not use the Services in any manner that would cause VIB3 to violate any such third-party terms.
6.5 Revocation of Access. You may disconnect any connected integration at any time from within the Services. You may also revoke access directly from the third-party platform (for example, via your Google Account permissions page, Meta Business Settings, TikTok Business Center, RevenueCat dashboard, or AppsFlyer dashboard). Revocation will trigger deletion of credentials and stored data on the schedule described in our Privacy Policy.
7.1 Nature of AI Features. The Services include features that use artificial intelligence and machine learning to analyze data retrieved from connected integrations, to generate insights, recommendations, and reports, and — where you authorize it — to make automated changes to your connected accounts (for example, adjusting bids, budgets, statuses, audiences, or other campaign parameters within your Google Ads, Meta, or TikTok advertiser accounts).
7.2 User Authorization and Oversight. Where the Services perform automated actions on your connected accounts, those actions are performed only with your authorization. You are solely responsible for reviewing, monitoring, and verifying any actions taken by the Services on your connected accounts, including any financial impact such as ad spend, billing changes, or budget adjustments. We strongly recommend that you set platform-level spend limits and routinely review the actions performed via the Services.
7.3 No Warranty on AI Outputs. AI-generated insights, recommendations, predictions, forecasts, classifications, and automated actions are provided on an “as is” basis. We do not warrant that AI outputs will be accurate, complete, optimal, or fit for any particular purpose, nor do we warrant any specific business, marketing, or financial outcome.
7.4 Limitation on AI Liability. To the maximum extent permitted by law, VIB3 is not liable for any losses — including, without limitation, ad spend, lost revenue, opportunity costs, or commercial losses — arising from AI-generated outputs or automated actions performed via the Services, except where such losses result directly from our gross negligence or willful misconduct.
8.1 Subscriptions. If the Services include paid features, you agree to pay all fees described at the time of purchase. Fees are non-refundable unless required by law.
8.2 Automatic Renewal. Paid plans may automatically renew at the end of each billing cycle unless canceled prior to renewal.
8.3 Taxes. You are responsible for paying any applicable taxes associated with your purchase.
Your use of the Services is also governed by our Privacy Policy (https://vib3.tech/privacy.html), which explains how we collect, use, and share your personal information, including data obtained through connected third-party integrations, and your rights under GDPR and CCPA.
We may suspend or terminate your access to the Services at any time, with or without cause or notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or us. Upon termination of your account, or upon your removal of any integration, OAuth tokens and API keys associated with that integration will be deleted, and other stored data will be removed in accordance with our Privacy Policy.
11.1 Disclaimer. The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including accuracy, reliability, or fitness for a particular purpose.
11.2 Limitation of Liability. To the maximum extent permitted by law, we and our affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, revenue, data, or ad spend, arising out of your use or inability to use the Services or out of any automated action performed via the Services on your connected accounts, even if advised of the possibility of such damages.
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Services; (b) your violation of these Terms; (c) your infringement of any rights of a third party; (d) your breach of any third-party platform terms applicable to a connected integration; or (e) your provision to VIB3 of API keys, OAuth grants, or other credentials that you were not authorized to share.
These Terms are governed by the laws of the jurisdiction where we operate, without regard to conflict of law principles.
We may modify these Terms at any time. We will post the updated Terms on the Site with a revised “Last Updated” date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
